The charter is signed and the state registration number is in hand. Now comes the gap between “registered” and “protected”. The guide collects everything you need to do at the start: step by step, with typical mistakes and ready-made templates. A short overview of the risks is in the article Startup Documents: Three Packages, Not Just a Charter, and the solutions are here.
What’s Inside
18-point checklist. Three levels of urgency: what you need before the first ruble of revenue, before the first employee and once the business has grown.
A breakdown of each item. The point in plain words, the steps in order, the most common mistakes, and the cost of a gap. The rules are named, and fines are given where the law names them.
A plan for the first 30 days after registration. Tasks week by week, and a list of what can wait until the first hire.
Nine templates:
- the decision appointing a director, for the notary, for appointments made after registration;
- an agreement assigning rights to code and design, with a variant for work already done;
- a website offer with a price-error clause: separate variants for companies and for consumers;
- a personal data policy for a website: storage periods, cookies, third-party services;
- a consent to personal data processing for a website form;
- a separate consent to advertising mailings;
- an assignment of duties and a completion act for employees;
- a policy on employees’ personal data, an acknowledgement sheet and a consent to transfer;
- a confidentiality agreement (NDA) with a contractor.
Memo “A director with no employees”. Since 2026, contributions for a director are calculated from the minimum wage, even if no salary is paid. The memo compares three options: regular contributions, the automated simplified tax regime (AUSN) and a managing individual entrepreneur.
All materials are in Russian, because that is the language of Russian authorities, banks and notaries. The guide and the checklist come as a PDF, the templates as a Word file you can fill in.
Who It’s For
You have recently registered a Russian LLC or are about to, you have or soon will have a website that takes payments, and freelancers or contractors build the product. Levels two and three of the checklist (employees and growth) are covered too, with templates for the first hire.
The guide is built for the launch and the first months of work. If your business has long run with a formal staff, part of the items are already closed.
